The CF Group, headquartered in Wendlingen am Neckar near Stuttgart, was formed following the merger of the German company Chemoform AG with France’s FIJA Group. The owner-managed group of companies covers the entire value chain, from manufacturing, fitting out and maintaining private and public swimming pools to offering products for pool cleaning, hygiene and water treatment. Its comprehensive brand portfolio includes Chemoform, Waterman, Dinotec, Balena, Dr. Nüsken, Aqualux, Naturacqua, RPC and Carré Bleu. The Group has a workforce of around 800, is active in more than 40 countries globally and generates consolidated annual sales of over EUR 200 million.
The transaction and financing
A suitable partner was sought in order to facilitate Chemoform AG’s takeover of France’s FIJA Group. Crédit Mutuel Equity was brought in by means of a capital increase undertaken when the two companies were merged into the CF Group. Crédit Mutuel Equity will support the CF Group’s growth plans with capital, know-how and its international network. Thanks to its previous investments, Crédit Mutuel Equity is already familiar with the French and international swimming pool market.
The role of benten capital
To facilitate the acquisition of the French FIJA Group and the merger of the two companies into the CF Group, Chemoform AG commissioned benten capital to carry out an M&A or financing process. benten capital initiated a structured, international investor and financing process within a very short time, thereby addressing the relevant market and developing the interest of a number parties in submitting an investment or financing offer. The decision in favour of Crédit Mutuel Equity was based on identifying a long-term partner that, as a minority shareholder, could support the further growth of the family-owned business not only in financial terms but also with its know-how and network.
