LDBS Lichtdienst GmbH, based in Falkensee near Berlin, one of Germany’s leading lighting service providers, and its subsidiary, LDBS Dienstleistung GmbH, acquired the Vollmer Group located in Königsbach-Stein, Baden-Württemberg. As an insolvent company, H. Vollmer GmbH was acquired as part of a reorganisation by transfer (asset deal), while its affiliates insatech GmbH and Heitronic Asia Industrial Ltd. of Hong Kong were acquired by means of a share deal. The deal enabled all of the jobs and production sites in both Königsbach-Stein and Hong Kong to be secured.
The Vollmer Group has focused on retailing electrical components, in particular luminaires, lamps and accessories, for about 30 years. The products are sold primarily under the HEITRONIC and insatech brands. The company’s broad client base includes leading DIY chains, specialist furniture retailers, cash-and-carry stores, electrical wholesalers and retailers, and building trades. H. Vollmer GmbH had filed an application to start insolvency proceedings with the Pforzheim District Court.

The role of benten capital
In order to successfully reorganise the company for the long-term, the insolvency administrator commissioned benten capital to undertake an M&A process in respect of H. Vollmer GmbH. benten capital immediately devised a structured, international investor process, worked on the relevant market, and developed the interest of multiple parties in intensive rounds of negotiation up to and including the potential possible conclusion of the purchase agreement. Following the global bidding process, the sellers finally opted for a sale to LDBS Lichtdienst GmbH, a leading German lighting specialist based Falkensee near Berlin.
